2. Use of Website
You agree to use our website only for lawful purposes related to sourcing or managing logistics services. 3. Service Terms & Quotations
All service quotations provided by Shad Holdings are valid for 30 days unless otherwise stated. Shipping, warehousing, and transport services are subject to our Standard Trading Conditions (available upon request). Risk of loss or damage to cargo passes to the consignee according to agreed Incoterms®. Customers must provide accurate cargo descriptions and documentation; failure may result in delays or additional charges.
4. Payment & Invoicing
Payment terms are net 30 days from invoice date unless a credit agreement specifies otherwise. Late payments may accrue interest at 2% above the prime lending rate of a major South African bank. All fees exclude VAT and any applicable duties or taxes. We reserve the right to suspend services for overdue accounts.
5. Limitation of Liability
To the maximum extent permitted by South African law, Shad Holdings shall not be liable for any indirect, incidental, or consequential damages arising from use of our services or website. Our total aggregate liability for any claim relating to our services shall not exceed the amount paid by the customer for the specific service giving rise to the claim. We do not exclude liability for gross negligence, fraud, or death/personal injury caused by our willful misconduct.
6. Indemnification
You agree to indemnify and hold harmless Shad Holdings, its directors, employees, and agents from any claims, losses, damages, or expenses (including legal fees) arising from your breach of these Terms, misuse of our website, or violation of any applicable laws.
7. Intellectual Property

8. Governing Law & Dispute Resolution
